Please read these Terms & Conditions carefully before engaging our services. By submitting a project inquiry, signing a proposal, or otherwise engaging SKEDNA I.T. Solutions, you agree to be bound by these terms. If you do not agree, please do not proceed.
1. Parties
These Terms & Conditions govern the relationship between SKEDNA I.T. Solutions ("Company," "we," "us," or "our"), located at 94 San Juan Street, Dumaguete City, Negros Oriental 6200, Philippines, and the individual or business entity ("Client," "you," or "your") that engages our services.
2. Services
SKEDNA I.T. Solutions provides custom digital solutions including but not limited to:
- Enterprise Web Development
- Custom Sales Funnels
- CRM Architecture and Implementation
- Workflow Automation
- E-Commerce and Booking Platform Development
- System Integrations and API Engineering
- Enterprise Infrastructure and DevOps
The specific scope, deliverables, timeline, and pricing for each engagement are defined in a written Proposal or Statement of Work ("SOW") agreed upon by both parties prior to commencement of work.
3. Discovery and Proposals
We offer a free initial discovery consultation to understand your project requirements. A formal proposal will be provided following discovery. Proposals are valid for 30 days from the date of issue unless otherwise stated.
Acceptance of a proposal — whether by written confirmation, payment of a deposit, or commencement of project activities — constitutes agreement to these Terms & Conditions and the specific terms outlined in the proposal.
4. Pricing and Payment
Our service packages begin at the following base rates (subject to custom scoping):
- Digital Foundation — Starting at $799 USD
- Automated Ecosystem — Starting at $1,999 USD
- Enterprise Infrastructure — Custom scope and pricing
Final pricing is determined after a discovery session and is outlined in the project proposal. Unless otherwise agreed:
- A deposit of 50% of the total project value is required before work begins.
- The remaining balance is due upon project completion and prior to final delivery.
- Payments are non-refundable once work has commenced, except as outlined in Section 10 (Cancellation).
- Invoices unpaid beyond 14 days of the due date may incur a late fee of 1.5% per month on the outstanding balance.
5. Project Scope and Change Requests
All work is performed based on the agreed scope defined in the signed proposal or SOW. Any changes, additions, or modifications to the agreed scope ("Change Requests") must be submitted in writing and will be subject to a revised timeline and additional fees.
We reserve the right to pause work until a Change Request is formally agreed upon in writing by both parties. Scope creep — where additional work is requested beyond the agreed deliverables without a Change Request — will be billed at our standard hourly rate.
6. Client Responsibilities
To ensure timely and successful project delivery, the Client agrees to:
- Provide accurate, complete, and timely information, assets, credentials, and feedback required for the project.
- Designate a single point of contact with authority to approve decisions.
- Review and approve deliverables within the timeframes specified in the project proposal.
- Ensure all content, images, logos, and materials provided are owned by the Client or properly licensed for use.
Project delays caused by late feedback, unavailability of the Client, or failure to provide required materials will not be attributed to SKEDNA I.T. Solutions and may result in timeline adjustments or additional costs.
7. Intellectual Property
Client Content. All content, materials, and assets provided by the Client remain the sole property of the Client. The Client grants SKEDNA I.T. Solutions a limited licence to use these materials solely for the purpose of delivering the agreed services.
Deliverables. Upon receipt of full payment, the Client is granted full ownership of the custom-developed deliverables specified in the project proposal, including source code, designs, and associated documentation specific to that project.
Pre-existing IP and Tools. SKEDNA I.T. Solutions retains ownership of all pre-existing intellectual property, frameworks, libraries, reusable components, and proprietary methodologies used in the development process. Where third-party tools, platforms, or open-source software are used, their respective licences apply.
Portfolio Rights. We reserve the right to display completed work in our portfolio and marketing materials unless the Client explicitly requests confidentiality in writing prior to project commencement.
8. Confidentiality
Both parties agree to keep confidential any proprietary information, business data, trade secrets, or sensitive materials disclosed during the engagement. This obligation survives the termination of the project. Neither party shall disclose confidential information to third parties without prior written consent, except as required by law.
9. Warranties and Results
SKEDNA I.T. Solutions warrants that all work will be performed with reasonable care and skill, in accordance with the agreed specifications, and will be free from material defects at the time of delivery. We will correct any defects or bugs arising from our development at no additional cost within 30 days of project handover.
While we stand behind a results-focused approach, we cannot guarantee specific business outcomes such as revenue increases, lead generation metrics, or search engine rankings, as these depend on factors beyond our control including market conditions, third-party platform changes, and the Client's own business operations.
10. Cancellation and Refunds
By the Client. If the Client cancels a project after work has commenced:
- The deposit is non-refundable.
- Work completed up to the date of cancellation will be invoiced at a pro-rated rate based on the total project value.
- Any outstanding balance for work completed is due within 14 days of cancellation.
By SKEDNA I.T. Solutions. We reserve the right to terminate an engagement if the Client materially breaches these terms, engages in abusive or unethical conduct, or fails to make payments as agreed. In such cases, a pro-rated refund for undelivered work will be issued.
11. Limitation of Liability
To the fullest extent permitted by applicable law, SKEDNA I.T. Solutions shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to our services, including but not limited to loss of revenue, loss of data, loss of business opportunity, or system downtime.
Our total cumulative liability for any claim arising out of or related to a specific project shall not exceed the total amount paid by the Client for that project.
12. Third-Party Services and Platforms
Many projects involve integration with or deployment on third-party platforms (e.g., GoHighLevel, Stripe, payment gateways, cloud hosting providers, CRM platforms). The Client acknowledges that:
- Third-party platforms are governed by their own terms of service and pricing, which may change without notice.
- SKEDNA I.T. Solutions is not responsible for outages, data loss, pricing changes, or policy changes by third-party providers.
- Subscription or usage fees for third-party platforms are the responsibility of the Client unless explicitly included in the project proposal.
13. Website Use
By using this website, you agree that you will not:
- Use the website for any unlawful purpose or in violation of any applicable regulations.
- Attempt to gain unauthorised access to any part of the website or its underlying systems.
- Submit false, misleading, or fraudulent information through any form on the website.
- Reproduce, republish, or redistribute any content from this website without our prior written permission.
14. Governing Law and Dispute Resolution
These Terms & Conditions are governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising out of or in connection with these terms shall first be attempted to be resolved through good-faith negotiation between the parties.
If a dispute cannot be resolved informally within 30 days, it shall be submitted to the appropriate courts in Dumaguete City, Negros Oriental, Philippines, which shall have exclusive jurisdiction.
15. Severability
If any provision of these Terms & Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.
16. Entire Agreement
These Terms & Conditions, together with the specific proposal or SOW agreed for each project, constitute the entire agreement between the parties with respect to the subject matter herein and supersede all prior discussions, representations, and agreements.
17. Changes to These Terms
We reserve the right to update these Terms & Conditions at any time. Changes take effect upon posting to this page with an updated "Last Updated" date. For active project engagements, the terms in effect at the time of proposal acceptance shall govern that engagement.
